Arbitration Agreement

Important: This agreement requires individual arbitration for disputes and waives your right to participate in class action lawsuits. Read carefully before using ShiftStackApp.

Overview

This Arbitration Agreement is part of ShiftStackApp's Terms of Service. By using ShiftStackApp, you agree that any dispute between you and ShiftStackApp will be resolved through binding individual arbitration, not through court litigation or class action lawsuits.

30-Day Notice Requirement

Before initiating arbitration, you must send written notice to [email protected] describing the dispute and the resolution you seek. We will attempt to resolve the dispute informally within 30 days. If we cannot resolve it within 30 days, either party may commence arbitration.

Arbitration Rules

All disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this agreement. The arbitration will be conducted in English. You may participate by phone or video conference. The AAA Consumer Arbitration Rules are available at www.adr.org.

How to File a Claim

To initiate arbitration: (1) Send a written Demand for Arbitration to [email protected] and to the AAA; (2) Describe the nature of the dispute in detail; (3) State the specific relief you are seeking; (4) Include your contact information. The AAA will acknowledge receipt and assign an arbitrator within 15 business days.

Class Action Waiver

YOU AND SHIFTSTACK EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. All disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction (typically disputes of $10,000 or less). This exception does not apply to class actions or consolidated claims.

Costs and Fees

For claims under $10,000, ShiftStackApp will pay all AAA filing, administration, and arbitrator fees. For claims over $10,000, the AAA rules for allocating fees apply. Each party pays its own attorneys' fees unless the arbitrator determines a party's claim is frivolous.

Governing Law

This Arbitration Agreement is governed by the Federal Arbitration Act (FAA) and federal arbitration law. To the extent state law applies, the laws of the State of Delaware govern, without regard to conflict of law provisions.

Severability

If any portion of this Arbitration Agreement is found to be unenforceable, the remaining portions remain in full force. If the class action waiver is found unenforceable, the entire Arbitration Agreement is void for that claim only — all other claims proceed in arbitration.
